The Passenger Module is a standard 2×2 sized upgrade module that increases the passenger capacity of the vehicle by an additional 4 seats.
While not ultimately necessary for standard city missions, extra seating in vehicles allow you to bring in larger squads while cutting down the number of vehicles needed to transport them. This is very important for recovering UFOs that have been shot down as only 1 airborne troop transport is allowed to enter the battle. Vehicles with low seating capacity such as the Bio-Trans also benefit greatly from expanded seating.
